How a confidential IPO filing works
Most companies file a public draft prospectus (DRHP). Razorpay used SEBI’s confidential route, so its draft is not public yet. After SEBI’s approval, the company must publish an updated draft for public comments before it can open the IPO. Only then will the price band, dates and the split between new shares and shares sold by existing investors be known.
Razorpay became a public limited company in April 2025 and later in 2025 moved its parent company from the US back to India. That move reportedly cost about $150 million in taxes.
